Below are the Terms and Conditions (“Terms”) for our Product Subscription (Auto-Ship) Program (the “Program”).

These Terms are between you and Biotanica (“Biotanica®”, “us”, or “we”), and govern your and our respective rights and obligations. Please note that your participation in the Program is also governed by our Terms & Conditions, Money Back Guarantee Policy, and Privacy Policy, as well as any other applicable terms, conditions, limitations and requirements on the biotanicanaturals.com website, all of which (as changed over time) are incorporated into these Terms.

By placing an order through the Program, you are agreeing to these terms, conditions, limitations and requirements. Please read these Terms carefully.

1) Eligibility

To participate in the Program, individuals must:

have an account on biotanicanaturals.com;
use a valid credit card;
agree to the Auto-Ship Terms and Conditions; and
order a minimum of one (1) product.

2) Pricing

We reserve the right to change the Program benefits, including the prices and terms, at any time, without prior notice to you. All changes will apply to future orders, including for current subscriptions. Credit cards will be charged on the “Processing Date,” in accordance with the prices listed on the Site as of that date.

You will be responsible for all and any surcharges, taxes, and handling fees, where applicable.

Your Program subscription is personal to you, so you may not assign or transfer your subscription (or any of the benefits associated with the Program) to anyone else.

3) Payment & Processing

By subscribing to the Program, you authorize us to automatically place and ship future orders for your selected Program item each month.

Payment for each Program shipment will be automatically charged to the same credit card that was supplied at sign-up, unless you notify us otherwise.

Your first order will be processed immediately upon sign-up and payment. Your subsequent orders will be automatically processed—and your credit card (previously supplied) charged—on a recurring basis on your chosen “Processing Date” each month. Orders will be processed once every month, unless our processing department is closed that day. If our processing department is closed, then your order will be processed – and your credit card (previously supplied) charged – on the next day that the processing department is open. You acknowledge and agree that Biotanica® will not obtain any additional authorization from you for these recurring payments.

If there are problems with payment, your shipping address or other account information, we will contact you via e-mail using the email address associated with your account. We reserve the right not to process or ship any further orders until the problem has been resolved.

Your enrollment in the Program may be immediately terminated without notice if the credit card(s) to which product purchases have been charged is expired, canceled, declined or otherwise terminated.

You acknowledge that we are under no obligation to process or ship any products unless full payment is received.

Payment for product subscriptions is currently only available via Shopify Recharge.

4) “Processing Date,” Processing & Shipment

Your “Processing Date” for all future Program orders is the same day of the week on which you make your first Program order, unless you select a different Processing Date by modifying the Processing Date on your account. Your Processing Date is the day that your order will be processed and your credit card (previously supplied) charged, unless our processing department is closed.

In the event that your Processing Date in any given week falls on a day when our processing department is closed, your order will not be processed until the following working day.

Subscription orders will be shipped within 2 business days. Please view our delivery information for information relating to your country and estimated delivery times. We do not guarantee delivery dates and we accept no liability in this respect.

5) Automatic Renewal

Your Program subscription will automatically create a new order according to your chosen delivery schedule unless and until you cancel your subscription.

You may cancel your Program subscription by calling our customer care service at +64 9 889 9489, sending an email to info@biotanicanewzealand.com, or cancelling online via our Live Chat service.

You may cancel your Program subscription at any time. However, if you cancel your program subscription after 11:59 PM NZT on the day before your Processing Date, then such cancellation will not take effect until the next scheduled order.

We reserve the right to cancel any order and/or terminate your subscription to the Program at our discretion. In such event, you will only be charged for orders that have already been shipped to you.

6) Notifications

All email notifications will be sent to the email address identified with your account.

7) Minimum Required Order

To participate in the Program, you must order a minimum of one (1) product.

8) Order frequency

Our Program frequency is based on variable subscriptions of your choice, ranging from 1 to 3 months.

9) Product Information

You may order any product. Available products are subject to change.

If your selected product is discontinued or no longer available, we will automatically pause your order for that item, and will notify you by email.

If an order is not available on the day it is scheduled to be processed, we will let you know via email.

10) Changes to the Program

We reserve the right to modify or cancel the Program at any time for any reason.

11) Changes to These Terms

Biotanica® may, in its sole discretion, revise and update these Terms and will post such changes on this page. Such changes will apply within 7 days of posting. Therefore, you should review these Terms regularly for any changes. YOUR CONTINUED PARTICIPATION IN THE PROGRAM CONSTITUTES YOUR ACCEPTANCE OF THE CHANGES. IF YOU DO NOT AGREE TO ANY CHANGES, YOU SHOULD CANCEL YOUR PROGRAM SUBSCRIPTION.

12) Limitation of Liability

IN ADDITION TO THE OTHER LIMITATIONS AND EXCLUSIONS CONTAINED IN OUR SITE TERMS AND CONDITIONS, IN NO EVENT WILL WE OR OUR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS OR OTHER REPRESENTATIVES BE LIABLE FOR ANY, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY OTHER DAMAGES OF ANY KIND, ARISING OUT OF OR RELATED TO THE PROGRAM, INCLUDING, BUT NOT LIMITED TO, ORDERS, YOUR PROGRAM SUBSCRIPTION OR CANCELLATION THEREOF AND LOSS OF DATA. OUR TOTAL LIABILITY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, WILL NOT EXCEED THE AMOUNT OF ALL PROGRAM SUBSCRIPTION PAYMENTS ACTUALLY MADE BY YOU DURING THE THREE (3) MONTHS PRIOR TO THE DATE OF INITIAL CLAIM. THESE EXCLUSIONS AND LIMITATIONS OF LIABILITY WILL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND WILL SURVIVE ANY CANCELLATION OR TERMINATION OF YOUR SUBSCRIPTION OR PARTICIPATION IN THE PROGRAM. CERTAIN STATE LAWS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.
